Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Outcrop Holdings Inc. ("Company," "we," "our," or "us"), including Outcrop Inspector and Sterling AI (collectively, the "Services"). By using the Services, you agree to these Terms.

1. The Services

Outcrop Inspector provides a virtual-receptionist and booking service for home-inspection businesses, including handling phone and website inquiries, answering questions, and booking appointments into your existing systems. Sterling AI provides authorized internal bookkeeping, accounting, forecasting, and reporting support via authorized QuickBooks integrations.

2. Accounts and Responsibilities

You are responsible for the information and rules you provide (such as services, pricing, availability, and coverage area), for keeping your account information accurate, and for the activity that occurs under your account. You agree to use the Services only for lawful business purposes.

3. SMS / Text Messaging

By providing your mobile number and opting in through our onboarding form, you agree to receive transactional, operational SMS alerts from Outcrop Inspector (such as appointment cancellations, reschedules, and access codes).

SMS opt-in is collected separately and is not a condition of purchasing or using any other service.

Message frequency varies and message and data rates may apply.

You can opt out at any time by replying STOP, and request help by replying HELP.

We handle your SMS consent in accordance with our Privacy Policy. We do not sell or share SMS opt-in data or consent with third parties for marketing; it is shared only with the carrier necessary to deliver the messages (e.g., Telnyx).

4. Sterling AI and QuickBooks Integration

Sterling AI and the associated QuickBooks integrations are intended solely for authorized internal use by Outcrop Holdings Inc. and Outcrop Inspector. Connections to QuickBooks Online are authorized through Intuit's OAuth system; we do not store QuickBooks passwords. Information accessed is used only for bookkeeping, accounting, forecasting, reporting, and financial analysis.

5. Acceptable Use

You agree not to misuse the Services, including by attempting to disrupt or gain unauthorized access to our systems, using the Services to send unlawful or unsolicited messages, or violating any applicable law or third-party rights.

6. Third-Party Services

The Services rely on trusted third-party providers (such as cloud infrastructure, messaging carriers, and authorized integrations). Your use of those underlying services may also be subject to their terms. We are not responsible for third-party services outside our control.

7. Intellectual Property

The Services, including software, content, and branding, are owned by Outcrop Holdings Inc. or its licensors. These Terms do not grant you any ownership rights in the Services.

8. Disclaimers

The Services are provided "as is" and "as available." We use commercially reasonable safeguards but do not warrant that the Services will be uninterrupted or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, Outcrop Holdings Inc. will not be liable for indirect, incidental, special, or consequential damages arising from your use of the Services.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the Effective Date above, and continued use of the Services constitutes acceptance of the updated Terms.
